Terms of Service

1. Description of Service

VIB AI is a mobile application that provides AI-powered agents and chat functionality. User inputs ("User Input") may be processed by one or more third-party AI model providers or AI infrastructure providers selected by us or made available within the App. Depending on the model you use, these providers may include OpenAI, Google, Anthropic, xAI, DeepSeek, ByteDance, Alibaba Cloud / Tongyi Qianwen, Tencent Hunyuan, Moonshot AI (Kimi), MiniMax, Zhipu AI (GLM), and other comparable providers. Model availability may change from time to time.

The Service may also offer optional paid features, including VIB AI Pro membership subscriptions, Credits purchases, and other in-App purchases. VIB AI Pro may unlock more powerful AI features and additional service benefits, such as sending and receiving more messages, receiving 300 Credits daily, enjoying more AI interactions, accessing top AI models, priority access during peak times, and early access to new features. Credits represent available AI usage in the App and may be acquired through subscription benefits, direct purchase, promotions, rewards, or other activities made available from time to time.

To help the AI understand your requests, the App may temporarily access information about your screen content, which may include descriptive text or screenshots that you voluntarily provide. This screen content is not stored on our servers and is processed only temporarily to provide the requested service and is immediately deleted afterward. By using the App, you consent to this temporary processing of screen content.

Users cannot upload images, files, screenshots, or voice content through the chat feature.

AI-generated responses may be inaccurate, incomplete, outdated, or unsuitable for your specific situation. They do not constitute professional advice (e.g., legal, financial, or medical). You are fully responsible for reviewing, verifying, and supervising any outputs generated by the Service.

2. Use License

Subject to your compliance with these Terms, VIB AI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the App for your personal, non-commercial purposes on a mobile device that you own or control.

3. User Responsibilities and Conduct

User Responsibility: You acknowledge and agree that you are solely responsible for all input you provide to the App ("User Input") and the consequences of its processing by the AI agents. You should use the App under your direct supervision and control. Do not leave the App operating unattended.

You agree not to use the App to:

• Violate any applicable national or international law or regulation, including laws regarding data or software export.
• Submit task descriptions or content that are unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Submit task descriptions that would infringe on any patent, trademark, trade secret, copyright, or other proprietary rights of any party. You represent and warrant that you have all necessary rights to request the actions submitted.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Transmit any material containing viruses or other malicious code designed to disrupt, damage, or limit the functionality of software, hardware, or telecommunications equipment.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the App, its servers, or any connected systems.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the App.
• Use the App for any commercial purposes without our express written consent.
• Exploit, manipulate, interfere with, or circumvent any subscription, payment, Credits, entitlement, billing, model access, rate limit, or usage-limit system, including by using bugs, scripts, automated methods, fraudulent payment methods, unauthorized payment credentials, chargeback abuse, or artificial reward generation.
• Sell, resell, rent, lease, transfer, sublicense, exchange, or otherwise commercially exploit Credits, paid entitlements, subscriptions, account access, AI outputs, or access to the Service unless expressly authorized by us in writing.
• Use multiple accounts, automated tools, or other methods to improperly obtain, accumulate, transfer, or consume Credits, rewards, subscription benefits, or other paid entitlements.

You are solely responsible for the User Input you submit and the consequences of its processing by the App.

4. Intellectual Property

The Service: The App, its original content (excluding User Input and Output), features, and functionality are the exclusive property of VIB AI and its licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

User Input: You retain all ownership rights to the task descriptions, questions, and other input you submit.

Output: The AI agents process your input to generate responses. You acknowledge that the App only processes your input and you are responsible for the use of the outputs.

License to Us: By submitting User Input to the Service, you grant VIB AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Input solely for the purpose of operating, providing, and improving the App (e.g., to process your task descriptions and generate AI responses).

5. Third-Party Services

The Service relies on certain third-party services to operate:

• AI Model Providers and Infrastructure: To provide AI chat and task execution functionality, your inputs may be sent to one or more AI model providers (OpenAI, Google, Anthropic, xAI, DeepSeek, ByteDance, Alibaba Cloud / Tongyi Qianwen, Tencent Hunyuan, Moonshot AI, MiniMax, Zhipu AI, and others). These providers process your data to generate responses. Data handling is subject to their terms and privacy policies.
• Appsflyer: Used for analytics to help understand App usage, improve performance, and optimize user experience. Data shared with Appsflyer is subject to their Privacy Policy.
• Apple App Store and Google Play: If you purchase a subscription, payments are processed by the relevant platform. We do not store full payment card information, only limited subscription and transaction metadata (subscription status, order ID, amount, currency, purchase/renewal date, platform).
• Payment Platform Providers for Credits and Other In-App Purchases: If you purchase Credits or other paid features through Apple In-App Purchase, Google Play Billing, or another payment platform made available in the App, payments are processed by the relevant platform or payment provider. We do not receive or store your full payment card details. We may receive limited transaction, receipt, entitlement, purchase validation, refund, chargeback, and related metadata necessary to confirm purchases, update Credits balances, provide paid features, restore purchases where available, prevent fraud, provide support, and comply with legal, tax, and accounting obligations.

We are not responsible for practices or content of these third-party services.

6. Subscription and Payment

The App may offer optional paid features, including VIB AI Pro membership subscriptions, Credits purchases, and other in-App purchases. By purchasing or using any paid feature, you agree to the pricing, billing, renewal, cancellation, refund, entitlement, and usage terms shown in the App, on the applicable platform, and in these Terms.

1. Purchase of Subscriptions

• Users may purchase subscriptions to access premium features of the App via Apple In-App Purchase (iOS devices) or Google Play Billing (Android devices).
• All subscription purchases are processed directly by the relevant platform (Apple or Google). VIB AI does not receive, store, or process your full payment card details.
• We only receive limited subscription and transaction metadata, including: subscription status, product type, order/transaction ID, purchase date, renewal date, amount, currency, and platform. This information is used solely to manage your subscription and provide paid features.
• VIB AI Pro may be offered as a monthly subscription or yearly subscription. For example, the App may display plans such as Monthly at $29.99 per month and Yearly at $299.99 per year.
• Actual prices, taxes, currency, promotional offers, subscription terms, and availability may vary depending on your region, platform, App version, and the information displayed by Apple App Store, Google Play, or another applicable payment platform at the time of purchase.

2. Subscription Duration and Renewal

• Subscription plans may be recurring (auto-renewing) unless explicitly cancelled.
• Renewal occurs automatically at the end of each subscription period through Apple/Google platform billing, at the same price and terms unless otherwise specified by the platform.
• Users are responsible for managing subscription renewal settings via their Apple or Google account.
• Deleting your VIB AI account or uninstalling the App does not automatically cancel an active subscription purchased through Apple App Store or Google Play. You must cancel the subscription through the platform where it was purchased.

3. Cancellation

• Users may cancel subscriptions at any time via Apple or Google account settings.
• Cancellation takes effect at the end of the current billing period, and access to premium features will continue until the subscription expires.
• VIB AI does not process cancellations directly; all cancellation requests must go through the platform where the subscription was purchased.
• Cancelling a subscription does not automatically entitle you to a refund for the current billing period unless the relevant platform or applicable law provides otherwise.

4. Refunds

• Refunds for subscription purchases are handled exclusively by Apple or Google according to their respective policies.
• VIB AI does not provide refunds for subscription payments. Users must refer to the applicable platform's refund procedures.
• If a refund is granted, reversed, or charged back by the relevant platform, VIB AI may revoke or adjust the related subscription access, Credits, paid entitlements, or benefits associated with that transaction, to the extent permitted by applicable law and platform rules.

5. Data Handling and Privacy

• Subscription and transaction metadata collected by VIB AI is used only for verifying subscription status, enabling access to premium features, resolving technical or billing issues, and complying with legal, tax, or accounting obligations.
• We do not share your personal payment details with third parties except where necessary for legal, regulatory, or tax purposes.
• Credits, purchase, entitlement, usage, refund, chargeback, and support records may also be processed as necessary to provide paid features, maintain accurate Credits balances, verify purchases, restore purchases where available, prevent fraud or abuse, resolve disputes, and comply with legal, tax, accounting, audit, and regulatory obligations.

6. Changes to Subscription Terms

• Subscription pricing, features, and availability are subject to change at VIB AI's discretion, in accordance with Apple and Google platform rules.
• Users will be notified of significant changes through the App or the relevant platform, and continued use of the subscription constitutes acceptance of any changes.

7. Legal Compliance

• All subscription-related processing complies with applicable laws, including tax, accounting, and consumer protection regulations.
• VIB AI retains subscription and transaction metadata as required by law, even after account deletion, for purposes such as audit, tax compliance, or legal obligations.

8. VIB AI Pro Membership

• VIB AI Pro is an optional paid membership that may unlock more powerful AI features and additional service benefits.
• Depending on the plan, App version, region, and availability, VIB AI Pro benefits may include sending and receiving more messages, receiving 300 Credits daily, enjoying more AI interactions, accessing top AI models, priority access during peak times, and early access to new features.
• VIB AI Pro benefits are available only while your subscription remains active and in good standing, unless otherwise stated in the App or required by applicable law.
• VIB AI Pro does not guarantee unlimited use, uninterrupted availability, a specific response speed, permanent availability of any particular AI model, or access to every feature at all times. Benefits may be subject to technical limits, fair use rules, model availability, capacity constraints, maintenance, third-party provider restrictions, and applicable law.

9. Credits

• Credits represent your available AI usage in the App. Credits may be used to access or consume certain AI messages, AI models, tools, interactions, premium features, or other credit-based functionality made available in the App.
• Credits may be acquired through VIB AI Pro daily Credits, direct purchase, promotions, rewards, compensation, or other activities made available in the App.
• The number of Credits required for a particular action may vary based on factors such as the selected AI model, feature type, message length, tool usage, system cost, service availability, or other factors shown or reflected in the App.
• Credit consumption may be calculated and deducted automatically when you submit a request, receive a response, use a model, or otherwise interact with credit-based features.

10. Credits Packages and Pricing

• Credits may be available for purchase in different packages. For example, the App may display packages such as 30 Credits for $5.00, 70 Credits for $10.00, 150 Credits for $20.00, 400 Credits for $50.00, 900 Credits for $100.00, and 2,000 Credits for $200.00.
• Actual package availability, prices, taxes, currency, promotional offers, and purchase terms may vary depending on your region, platform, App version, and the information displayed by the relevant payment platform at the time of purchase.
• All prices and package information shown in the App or by the payment platform at the time of purchase control over any examples or promotional descriptions.

11. Credit Balance, Deductions, and Adjustments

• Your Credits balance may include purchased Credits, subscription-granted Credits, promotional Credits, rewarded Credits, compensation Credits, or other Credits issued by VIB AI.
• You are responsible for reviewing your Credits balance and understanding that using eligible AI features may deduct Credits from your account.
• Credits deductions are generally final once the relevant AI request or paid feature is processed, except where we determine that an adjustment is appropriate due to a technical error, failed transaction, platform refund, chargeback, abuse investigation, or applicable legal requirement.
• We may correct, reverse, deduct, suspend, or adjust Credits balances if we reasonably believe that Credits were issued, displayed, purchased, rewarded, deducted, or consumed incorrectly, fraudulently, or in violation of these Terms.

12. Daily Pro Credits

• Active VIB AI Pro subscribers may receive 300 Credits daily, subject to the plan terms, App rules, platform status, subscription status, and service availability.
• Daily Credits may be subject to reset, carryover, expiration, usage, and eligibility rules displayed in the App. Unless expressly stated otherwise in the App, daily Credits are provided as a subscription benefit and may stop, reset, expire, or become unavailable when the VIB AI Pro subscription expires, is cancelled, is refunded, is charged back, or is otherwise not in good standing.
• Daily Credits are not a separate cash payment, stored value, gift card, electronic money, or independently refundable item.

13. No Cash Value and Transfer Restrictions

• Credits are a limited, revocable, non-exclusive, non-transferable license to access credit-based AI usage within the App. Credits are not money, electronic money, cryptocurrency, a bank deposit, stored value, gift cards, securities, or property.
• Credits have no cash value, do not accrue interest, and cannot be sold, resold, exchanged, redeemed, withdrawn, transferred, assigned, gifted, traded, or converted into money or anything else of value, except where expressly permitted by VIB AI in writing or required by applicable law.
• Credits may only be used within the App and only in accordance with these Terms and any rules displayed in the App.

14. Promotions, Rewards, and Bonus Credits

• From time to time, VIB AI may offer promotional Credits, rewarded Credits, bonus Credits, trial benefits, discounts, or other promotional offers.
• Promotional, rewarded, or bonus Credits may be subject to additional eligibility requirements, usage limits, expiration rules, availability limits, and anti-abuse rules displayed in the App or in the promotion terms.
• We may withhold, cancel, revoke, or adjust promotional, rewarded, or bonus Credits if we reasonably believe that they were obtained through fraud, abuse, technical manipulation, multiple-account abuse, automated activity, violation of these Terms, or other unauthorized conduct.

15. Refunds, Chargebacks, and Reversal of Credits

• Refunds for Credits purchases and other in-App purchases are handled by the platform or payment provider through which the purchase was made, subject to its policies and applicable law.
• VIB AI does not control platform refund decisions and does not provide direct refunds except where required by applicable law.
• If a Credits purchase, subscription, or other paid transaction is refunded, reversed, cancelled, charged back, found fraudulent, or otherwise invalidated, we may remove the related Credits, revoke paid entitlements, deduct already-granted Credits, reduce your Credits balance, suspend access to paid features, or take other reasonable steps to protect the Service.
• If the Credits associated with a refunded, reversed, charged back, or invalidated transaction have already been consumed, we may deduct an equivalent amount from your remaining balance, restrict additional paid feature access, suspend your account, or seek other remedies permitted by law and these Terms.

16. Changes to Paid Features, Credits, and Entitlements

• We may add, remove, suspend, limit, modify, replace, or discontinue any paid feature, VIB AI Pro benefit, Credits package, credit consumption rate, model access rule, priority access rule, reward program, promotional offer, or entitlement at any time, subject to applicable law and platform rules.
• Where required by law or platform rules, we will provide notice of material changes through the App, the relevant platform, or other reasonable means.
• Continued use of paid features, VIB AI Pro, Credits, or the Service after changes become effective constitutes acceptance of the updated terms, unless applicable law provides otherwise.

17. Account Deletion, Termination, and Paid Entitlements

• If you delete your VIB AI account, lose access to your account, or have your account suspended or terminated, your ability to access VIB AI Pro benefits, Credits, purchase history, restored purchases, and other paid or credit-based entitlements may be affected or may no longer be available, subject to applicable law and platform rules.
• Deleting your VIB AI account does not automatically cancel subscriptions managed by Apple App Store, Google Play, or another payment platform. You remain responsible for cancelling any active subscription directly through the platform where it was purchased.
• Unless required by applicable law or platform rules, unused Credits, promotional Credits, rewarded Credits, daily Pro Credits, bonus Credits, or paid entitlements may be forfeited if your account is terminated or suspended due to breach of these Terms, fraud, abuse, payment failure, chargeback abuse, or unauthorized use of the Service.

7. Disclaimers

The Service is provided on an "as is" and "as available" basis. Your use is entirely at your own risk.

We do not warrant that AI-generated outputs are accurate, reliable, complete, or suitable for any particular purpose. Outputs do not constitute professional advice. You must review, verify, and supervise any AI-generated content.

Paid features, VIB AI Pro benefits, model access, priority access, daily Credits, Credits purchases, and other entitlements are provided on an "as available" basis and may be limited by technical constraints, maintenance, service capacity, usage limits, model availability, third-party provider restrictions, platform restrictions, applicable law, or other operational factors. "Priority access" does not guarantee uninterrupted access, unlimited access, or any specific response time.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIB AI, its directors, employees, partners, agents, suppliers, or affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including AI outputs or subscription services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIB AI is not liable for any loss, unavailability, reduction, expiration, reset, deduction, suspension, or forfeiture of Credits, VIB AI Pro benefits, model access, priority access, paid features, promotional benefits, rewards, or other entitlements, except where such liability cannot be excluded under applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless VIB AI, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, demands, losses, liabilities, damages, costs, or expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of or access to the Service, including AI chat, task execution, and any features provided through the App;
• Any User Input you submit, including the content, task descriptions, or questions you provide to AI agents;
• Any breach or alleged breach of these Terms, including violation of any applicable law, regulation, or third-party right;
• Your violation of intellectual property rights, privacy rights, or other legal or contractual rights of any person or entity;
• Any unauthorized or unlawful use of the Service by you or by anyone using your account credentials.
• Your purchase, use, attempted use, misuse, manipulation, transfer, resale, refund abuse, chargeback abuse, or unauthorized acquisition of subscriptions, Credits, VIB AI Pro benefits, rewards, paid features, or other entitlements;
• Any claim, dispute, chargeback, tax issue, platform issue, billing issue, or payment-related matter arising from your violation of these Terms or your unauthorized or fraudulent conduct.

This indemnification obligation applies regardless of whether the claim arises from actions performed by AI agents in response to your inputs, subscription services, Credits, paid features, credit-based usage, or any related App functionality. You agree to cooperate fully with VIB AI in the defense of any claim.

10. Termination

VIB AI may terminate or suspend your access to the Service, in whole or in part, immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms;
• Unauthorized or illegal use of the Service;
• Suspected fraudulent activity, security breaches, or misuse of the App.
• Non-payment, payment failure, refund abuse, chargeback abuse, unauthorized payment activity, manipulation of Credits or entitlements, abuse of rewards, circumvention of usage limits, or misuse of subscriptions or paid features.

Upon termination or suspension:

• You must immediately stop using the Service;
• Any licenses granted under these Terms will terminate;
• User accounts deletion does not necessarily remove subscription, financial, or transaction records if legally required to retain them for tax, accounting, audit, or regulatory purposes;
• AI outputs generated prior to termination may still exist in system logs or backups as required for operational or legal reasons.
• Your access to VIB AI Pro, Credits, paid features, daily Credits, promotional Credits, rewards, purchase history, restored purchases, and other entitlements may be suspended, revoked, limited, or forfeited to the maximum extent permitted by applicable law and platform rules;
• Deleting the App or deleting your VIB AI account does not automatically cancel subscriptions managed through Apple App Store, Google Play, or another payment platform.

Termination does not affect any obligations or liabilities that accrued prior to termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without giving effect to any conflict of law principles.

• Any failure or delay by VIB AI in enforcing its rights under these Terms shall not constitute a waiver of those rights.
• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. Dispute Resolution

• You agree to first attempt to resolve any dispute or claim arising out of or relating to these Terms or the Service informally by contacting VIB AI at support@vibai.com.
• For users located in the European Union, you may also submit disputes via the European Commission's Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.
• These procedures do not prevent you from pursuing legal remedies if required by law, including statutory consumer protection rights.

13. Changes to Terms

VIB AI reserves the right, at its sole discretion, to modify, update, or replace these Terms at any time.

• Any changes will be effective immediately upon posting within the App or on the VIB AI website, unless a later effective date is specified.
• Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
• If you do not agree to the updated Terms, you must immediately stop using the Service and uninstall the App.

15. Entire Agreement

• These Terms constitute the entire agreement between you and VIB AI regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, or representations, whether electronic, oral, or written.
• No additional terms, conditions, or agreements, whether stated in promotional materials or otherwise, will modify or override these Terms unless expressly agreed to in writing by VIB AI.
